We advise our clients about company matters, specifically on corporate governance matters and regulation of General Meetings, Boards of Directors or other Administrative bodies, General Assembly’s, other Administration Bodies, etc.

We offer advice, planning and preparation in the incorporation, winding-up and dissolution of companies, intermediate companies, subsidiaries, branches and offices, amendments of Articles of Association, acting as Secretary of the company, its subsidiaries, attending General Meetings and Boards of Directors, and writing the corresponding minutes and certifications. We draft and design powers of attorney, including analysing and designing empowerment schemes.

To those clients with Group status, we advise and assist both the parent company and the subsidiaries in order to aid their effective decision making processes. In addition, we counsel the group’s Governing Bodies and executives regarding the implications of the decisions within the entities forming part of the group.

We advise on the negotiation and drafting of Shareholder Agreements as well as in their execution and breach.
